The information below tells you how you may use the website www.thewisesociety.co.uk (referred to as the “Site”) and how you may participate in The Wise Society (referred to as “Community”). Please read these terms and conditions (the "Terms") carefully before using the Site and participating in the Community.

By using the Site and by registering as a member of the Community, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree with any of our Terms, then you should not register or use our Site.

Please note that we may update and amend these Terms from time to time and the current version of these terms will be posted on the Site. It is your responsibility to ensure you review these Terms regularly to familiarise yourself with any changes. Your use of the Site and participation in the Community following any such changes will constitute your acceptance of the revised Terms.

We recommend that you print a copy of these Terms for future reference.

How the Community works

Who operates and who owns the Site and the Community?

The Community and the Site is administered and managed by The Wisdom Council which engages STRAT7 Researchbods, a division of STRAT7 Limited (Researchbods) to assist with certain tasks.

The Wisdom Council is a trading name of Wisdom Global Limited, a company registered in England under company number 08589400 whose registered office is Cannon Green, 27 Bush Lane, London EC4R 0AA.

Researcbods are a company registered in England under company number 07642707 whose registered office is at 11 Soho Street, London, W1D 3AD.

Reference to “we, us, or our” are joint references to The Wisdom Council and Researchbods together.

References to "you" or "your" mean you as a member of the Community and user of the Site.

Who can register as a member of the Community?

Membership of the Community is free and is open to all individuals who complete our profiling questionnaire. Only one registration per person is permitted.

You must be over 18 years of age to join.

How do you register as a Community member?

In order to register as a member of the Community, you will be asked to provide your name (forename and surname), your personal email address and your date of birth. You promise that all information and details provided are true, accurate and up to date in all respects and at all times.

You will also be asked to create a unique user name and password. You are responsible for all activity that occurs under your user name and password. You must keep your password confidential and you must not disclose it to any third party. We will not be responsible where your password is used by someone else. You should notify us immediately of any unauthorised use of your user name or password and any breach of security as soon as you become aware of it by contacting us at support@thewisesociety.co.uk. We have the right to terminate your membership of the Community and remove access to the Site by disabling any user name or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

How do we use your information?

Please read our Privacy Notice and our Cookies Notice posted on this Site, which contain important information about how we use any personal information about you that we receive through your registration and participation in the Community, and use of the Site.

If there is any inconsistency between these Terms and the terms of our Privacy Notice and Cookies Notice, the Privacy Notice and Cookie Notice will prevail to the extent of such inconsistency.

How do we communicate with you?

To manage and administer the Community and the Site and to allow us to fulfil our obligations to you under these Terms, we may communicate with you by email, using the address you’ve provided to us, or by posting notices on the Site. You agree to receive communications from us electronically in this way, and that electronic communications will satisfy any legal requirement for communications to be in writing.

Your rights and obligations

Are there any restrictions when using the Site or participating in the Community?

By using the Site and participating in the Community, you agree that you will only do so for your own personal, non-commercial use.

You further agree that you will not:

- use the Site in any way that breaches any applicable local, national or international law or regulation;
- use the Site to in any way infringe the privacy or other rights of any other person;
- use the site in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
- bully, insult, intimidate or humiliate any person;
- use the Site in any way that may lead to the encouragement, procurement or carrying out of any criminal or unlawful activity, or cause distress, harm or inconvenience to any other person;
- do anything that subjects the Site, the Community, or us to any derogatory treatment or brings (or might bring) the Site, the Community, or us into disrepute;
- transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
- do anything that may cause damage to the Site or our servers, systems or equipment or those of third parties, nor access or attempt to access any users' data;
- misuse or do anything that disrupts all or any part of the Site, including but not limited to knowingly introducing software viruses, trojans, worms, time-bombs, keystroke loggers, spyware, adware or other material, programs or code designed to adversely affect the operation of any computer software or hardware or that may otherwise be technologically harmful; and
- penetrate, remove or otherwise alter or interfere with any security measures that we use to protect the material and content made available via our Site, or attempt to do so or assist any other person in doing or attempting to do so.

You agree to compensate us in respect of any damages or losses suffered by us as a result of any claim made by a third party relating to (a) your use of the Site in breach of these Terms (or any other applicable terms), or (b) your violation of any applicable law or regulation when using the Site.

Who is responsible for user generated content?

The Site may incorporate certain content that is generated by members of the Community (including you) ("User Generated Content"). You acknowledge and agree that:

- our ability to control the User Generated Content is limited;
- we do not endorse User Generated Content and cannot guarantee that it will meet the standards that content produced by us would ordinarily meet;
- we are under no obligation to oversee, monitor or moderate User Generated Content; and
- any views expressed in User Generated Content do not necessarily reflect our views.
- Consequently, we expressly exclude responsibility or liability for User Generated Content, any actions or omissions that you may take in reliance on it or any loss or damage arising from viewing it or its use.

Your obligation to keep content confidential

The content we provide on our Site may be confidential and not publicly available. As such, you agree not to disclose the information provided by us to any third party unless we confirm that you may do so. You will only use such information for the purposes of the Community, however if you are required by law, a court, or any governmental or regulatory authority to disclose the information, you may do so.

What additional terms apply to content you submit?

If you wish to submit any contribution to the Site or upload any content such as any text (including, for instance, on any chat rooms or forums or on any classified pages), photographs, graphics, video or audio to the Site ("Submission"), they must comply with the standards set out in this section (“Submission Standards”)

You agree that any Submission you make must:

- be accurate (where it states facts);
- be genuinely held (where it states opinions);
- comply with the law applicable in England and Wales and in any country from which it is posted.

A Submission you make must not contain:

- anything that may have the effect of being harassing, threatening, abusive or hateful, or which degrades, discriminates against, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, disability or any other legally protected characteristic;
- anything that can be considered as bullying, insulting, intimidating or humiliating;
- anything that subjects the Site, the Community, or us to any derogatory treatment or brings (or might bring) the Site, the Community, or us into disrepute;
- anything that infringes the rights of a third party;
- any third party content such as music, location signage, or photographs, artwork or sculpture unless you have consent from the owner to include that third party content; or
- anything that is in any way defamatory, obscene, unlawful, harmful, offensive or inappropriate or that would constitute a contempt of court or expose us to any civil or criminal proceedings.

We will consider your Submission to be non-confidential and non-proprietary. By making a Submission, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, transferable, worldwide license to use, copy, edit, adapt, publish, translate, create derivative works from, make available, communicate and distribute that material (in whole or part) and/or to incorporate it in other works in any form, media, or technology now known or later developed. To the extent permitted by law, you waive your moral rights (e.g. the right to be identified as author or to object to derogatory treatment) in any Submission you make.

We have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

You further agree that you will not endanger yourself or others, or take any unnecessary risks in order to produce or make your Submission.

These Submission Standards must be complied with in spirit as well as to the letter. These Submission Standards apply to each part of any Submission as well as to its whole. We will determine, in our absolute discretion, whether a Submission breaches the Submission Standards set out in these Terms.

Failure to comply with the standards set out in these Terms constitutes a material breach of these Terms and may result:

- in an immediate, temporary or permanent removal of a Submission and/or your membership of the Community and right to use the Site;
- legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
- further legal action against you;
- disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

You warrant that any Submission complies with the Submission Standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

How can your membership of the Community be amended and terminated?

You may terminate your membership at any time by unsubscribing from the Community. This can be done by going directly to your ‘Profile’ page. Here you can update your membership information or delete your account entirely. Alternatively, you can send your request to us at support@thewisesociety.co.uk.

If you unsubscribe from your Community membership, your profile information will be removed, you will be unable to access the Site and you will no longer receive emails from us. In addition, you will forfeit any incentives or rewards that have not been administered at the time you opt out.

The termination will take effect up as soon as reasonably practicable following receipt of the unsubscribe notice, and in any event within 5 business days thereafter.

If at any time you choose to withdraw your acceptance of these Terms or the Privacy Notice via your ‘Profile’ page, your Community membership will be terminated.

At the bottom of every email communication there is an ‘Unsubscribe’ button. This will allow you to unsubscribe from the email communications you receive from the Community, however you will continue to be a member, your profile information will remain, and you will continue to have access to the Site.

If you do not access the Site within 12 months of unsubscribing from email communications, we will terminate your Community membership.

If you would like to re-subscribe to email communications at any time, you can do so by emailing your request to us at support@thewisesociety.co.uk.

If you wish to do so, you are able to contact the data controller, us (The Wisdom Council), to execute your right to be forgotten. Requests are to be sent to support@thewisesociety.co.uk Once we have received the request, all your profile information and data related to your Community experience will be deleted.

What are our obligations and limits on liability?

The Site and the Community are provided on an 'as is' and 'as available' basis. We cannot promise that the Community or the Site will be free from errors or omissions, nor that they will be available uninterrupted and in a fully operating condition, or free from viruses or other harmful components. We make no guarantee that all or any features of the Site or the Community will work on any particular device.

Any content or other materials included in the Site do not, and are not intended to, amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Site. Consequently, we do not accept any responsibility or liability for any actions or omissions that you may take in reliance on such content or materials.

Although we make reasonable efforts to update the information on our Site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date.

Content and materials uploaded by members of the Community are not verified or approved by us. Any views expressed by Community members on the Site do not represent our views or values. If you wish to complain about content uploaded by other members, please use the report button beside the relevant content.

Where our site contains links to other sites and resources provided by third parties these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

Where our site uses widgets or services of third parties, your use of these is subject to any terms and conditions made available to you. We are not responsible for these widgets or services.

By using the Site and participating in the Community, you agree to release Wisdom Global Limited from any and all liability whatsoever arising in any way from your use, misuse or inability to use the Site or the Community.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Please note that we only provide our Site for domestic and private use. You agree not to use our Site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Nothing in these Terms will restrict your statutory rights as a consumer (including our obligation to provide you with a service with at least reasonable skill and care, more details about which can be obtained from your local Trading Standards Office or Citizen's Advice Bureau).

Who can use the intellectual property in the Site?

We are the owner or the licensee of all intellectual property rights in our Site, and in the material we publish on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Nothing contained in these Terms grants you a license or a right to use any copyright, trade marks, design rights, patents or other intellectual property right owned or controlled by us, our respective partners or any third party, except to the limited extent necessary to access and use the Site and the Community.

Unless we tell you otherwise, you may print off one copy, and may download extracts, of any page(s) from our Site for the purposes of interacting with the Community and the purposes for which it is established.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

You must not use any part of the content on our Site for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of our site in breach of these terms of use, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Can a third party enforce these Terms?

These terms do not create any rights that are enforceable by any person who is not a party to these Terms.

What happens if we do not enforce a right under these Terms against you?

If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

What happens if part of these Terms is not enforceable?

Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

What happens if there is a dispute about these Terms?

These Terms are available in English only and they, their subject matter and formation are governed by and construed in accordance with the laws of England and Wales. Disputes arising in connection with these Terms are subject to the exclusive jurisdiction of the courts of England and Wales except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

How do you report potential abuse?

Any member of the Community can report an abusive comment using the ‘Report’ button on the Site. The ‘Report’ button is positioned next to every individual comment made by every individual member. Members can also report abuse directly by sending an email to support@thewisesociety.co.uk.

THE WISE SOCIETY – GENERAL PRIZE DRAW TERMS AND CONDITIONS

Introduction

The following terms and conditions apply to all prize draws promoted by the Promoter on www.thewisesociety.co.uk (the “Site”).

The Promoter is The Wisdom Council, a trading name of Wisdom Global Limited, a company registered in England under company number 08589400 whose registered office is Cannon Green, 27 Bush Lane, London EC4R 0AA. The Promoter is responsible for managing and administering the prize draws.

These general prize draw terms and conditions apply in addition to any specific terms and conditions which may be posted in connection with the prize draw on the Site and/or otherwise communicated to you by the Promoter (“Specific Terms”). Together these prize draw terms and conditions and the Specific Terms shall be referred to as the “Terms and Conditions”. To the extent that there is any inconsistency between these general prize draw terms and conditions and the Specific Terms, the Specific Terms will prevail.

By taking part in a prize draw, you accept and agree to the Terms and Conditions. If you do not agree with any of the Terms and Conditions then you should not participate.

The Terms and Conditions may be amended at any time without prior notice. Any changes will be posted on the Site. It is your responsibility to ensure you review the current Terms and Conditions.

Eligibility

Entrants must be residents of the United Kingdom, Isle of Man or Channel Islands and must be aged 18 years or over at the time of entry, unless specified otherwise.

Employees and members of their immediate families (including any live-in partner) of the Promoter and/or those associated with the operation or promotion of the prize draw, including without limitation the provider of the prize, are ineligible to enter. Any such entries are invalid.

The Promoter reserves the right in its sole discretion to ask for evidence to verify the age, identity and/or eligibility of an entrant at any time, and to use any channels and methods available to carry out checks of any details provided. The Promoter may withhold delivery of a prize until it has received such evidence from the winner and failure to provide such evidence in a timely manner may result in forfeiture of the prize.

Entry

The opening date and closing date and time for entries will be as indicated in the Specific Terms.

To enter a prize draw, entrants must follow the instructions provided by the Promoter, including without limitation those as specified in the Specific Terms. Please note that entrants may be automatically entered into a prize draw when they complete any of the eligible research tasks (e.g. surveys, polls or forum discussions) the Promoter invites them to participate in, if so indicated in the Specific Terms posted on the Site or otherwise communicated by the Promoter (e.g. as part of the invitation to participate in the research task). The prize draw is free to enter and no purchase is necessary.

Any entries received before the prize draw opens or after the closing time on the closing date will not be counted.

Any entries which are incomplete, without all the required information, incomprehensible, incorrectly submitted, lost, damaged in any way, made or received after the deadline for receiving entries has passed, or which are not received by the Promoter or are not otherwise in accordance with the Terms and Conditions, are invalid and will be discounted.

The Promoter accepts no responsibility for entries not successfully completed due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind.

In the event of any fault, mistake, misunderstanding or dispute concerning the entries or the operation of any part of the prize draw, the decision of the Promoter shall be final.

Where entrants are required to submit a contribution to the Site or upload any content as part of their entry such as any text (including, for instance, on any forums or on any classified pages), photographs, graphics, video or audio to the Site, entrants also agree to the Site’s Terms and Conditions of Use.

The Prize

The prize for each prize draw is as specified in the Specific Terms posted on the Site or otherwise communicated by the Promoter (e.g. as part of an invitation to participate in a research task). Unless otherwise stated in the Specific Terms, each entrant is limited to winning one prize per prize draw. Each prize is subject to availability and to winner confirmation, i.e. the Promoter has managed to contact the winner and confirm eligibility in accordance with the ‘Winner Contact’ section below.

Where the prize is a voucher (which may be provided in the form of a unique voucher code or otherwise), such voucher may only be redeemed by the prize winner and in pounds sterling. Such vouchers cannot be issued or transferred to any third party. Use of such vouchers will also be subject to the terms and conditions of the issuer of the voucher (e.g. Amazon or John Lewis). The Promoter, prize provider(s) and/or the issuer of the voucher reserve the right to refuse to accept vouchers which are deemed to have been tampered with, defaced, duplicated, damaged or which otherwise are suspected to be affected by fraud or which have been lost or stolen following delivery.

No cash equivalent (where applicable) or alternative prize will be given at the request of the winner and the prize is non-transferable and non-exchangeable. However, the Promoter reserves the right to change the prize or any part of the prize to an alternative of equal or greater value for any reason in its sole discretion, including without limitation due to circumstances beyond its control or if any part of the prize becomes unavailable. If for any reason the winner chooses not to take up the prize or any part of the prize, the Promoter reserves the right to ask the winner to confirm this in writing and the Promoter will be able to retain or dispose of the prize (or part of the prize) at its own discretion.

The Promoter may refuse to provide a prize, or seek its recovery, in the event of non-entitlement under the Terms and Conditions or an entrant's breach of the Terms and Conditions, fraud or dishonesty.

The Promoter or prize provider(s) endeavour to deliver the prize to the winner by email (where possible) or by post within twenty-eight (28) days from the date of winner confirmation, unless stated otherwise in the Specific Terms. The Promoter or prize provider(s) will not be liable where a prize has been lost or stolen following delivery and such prize will not be replaced.

Winner Selection

The number of prize winners for each prize draw is as specified in the Specific Terms posted on the Site or otherwise communicated by the Promoter (e.g. as part of an invitation to participate in a research task).

Prize draws will take place within one week of the closing date and time for entry, unless otherwise specified in the Specific Terms.

Unless stated otherwise in the Specific Terms, the prize winner will be the first entry drawn at random from all valid entries, subject to eligibility and winner confirmation.

Winner Contact

Unless otherwise stated in the Specific Terms, the winner will be contacted by email within one week after the draw date.

If the winner fails to respond to the notification email within 30 days of the email being sent, or if the winner fails to meet any of the eligibility requirements or is otherwise unable to comply with the Terms and Conditions, this may result in forfeiture of the prize and the Promoter reserves the right to disqualify that entrant (without liability to that entrant) and offer the prize to the next eligible entrant and thereafter until a winner is found.

The winner is required to comply with all instructions and requirements as may be provided by the Promoter, prize provider(s) and/or their agents to receive and/or take up the prize. The Promoter will not be liable to the winner or any other persons where they fail to comply with such instructions and/or requirements, and such failure may result in forfeiture of the prize (without liability to the entrant).

Manipulation of services

The Promoter is committed to operating prize draws fairly and to preventing abuse of its systems, as well as those of its agents and sub-contractors.

For this reason, the Promoter reserves the right to disqualify and/or discount entries if it has reasonable grounds to suspect, at its sole discretion, having regard to all the circumstances and information available at the relevant time, any of the following:

a) entries have been made in breach of the Terms and Conditions; or
b) there has been any activity which the Promoter considers is designed to unfairly influence or excessively manipulate the prize draw outcome and/or provide an unfair advantage to the entrant.

Liability

The Promoter cannot promise that the services relating to a prize draw will be free from errors or omissions, nor that they will be available uninterrupted and in a fully operating condition. These services may be suspended temporarily and without notice in the case of any problem with any system, server, software, or for any technical malfunction or failure, maintenance or repair or for reasons reasonably beyond the control of the Promoter. The Promoter accepts no responsibility for any entries which are not completed for any reason linked to the services.

Insofar as is permitted by law, the Promoter will not in any circumstances be responsible or liable to:

- compensate an entrant or accept any liability for any fault, malfunction, damage, loss or disappointment suffered as a result of entering the prize draw;
- compensate a winner or accept any liability for any loss, damage, personal, injury or death occurring as a result of taking up the prize except where caused by the Promoter’s fraud or negligence or that of its agents, distributors or their employees.

The Promoter reserves the right to amend any element of a prize draw for reasons beyond its reasonable control. The Promoter are not responsible for any loss or damage caused to you as a result of any such occurrence. The Promoter reserves the right to hold, void, cancel, suspend, or amend the promotion where it becomes necessary to do so.

Privacy

Information and data ("personal data") which is provided by you when you enter a prize draw will be held by the Promoter, and may be used by the Promoter, and their respective service providers, suppliers and contractors for the purposes of administering and fulfilling the prize draw. Entrants agree that this includes without limitation that the Promoter may contact them if there is an issue with the prize draw. Further details of how any personal data will be used are set out below and in the Privacy Notice and entrants agree to this use of their personal data when they participate in the Promoter’s prize draws.

The Promoter and/or the prize provider may send personal data of entrants to third parties outside the European Economic Area for the purposes of administering the prize draw, and by entering, entrants agree to such transfer for these purposes.

If you are the winner of a prize draw, you agree that the Promoter may post your username on the Site or via newsletter to the Community members. If you object to any or all of your surname, county and winning entry being published or made available, please contact the Promoter at support@thewisesociety.co.uk. In such circumstances, the Promoter must still provide the information and winning entry to the Advertising Standards Authority on request.

Promoter’s decision is final

The decision of the Promoter regarding any aspect of the prize draw is final and binding and no correspondence will be entered into about it.

General

The Terms and Conditions are available in English only and shall be exclusively governed by and construed in accordance with the laws of England and they irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
